These Buyer Terms of Sale (“Buyer Terms”) govern your purchase of Digital Products through the MCP Market marketplace at mcpmarket.com (the “Marketplace”), operated by Sitka Labs (“MCP Market,” “we,” “us”). By purchasing or attempting to purchase a Digital Product, you (“Buyer,” “you”) agree to these Buyer Terms. If you do not agree, do not purchase.
These Buyer Terms incorporate by reference MCP Market's general Terms of Service and Privacy Policy.
1. Definitions
1.1 “Digital Product” means any digital item made available for license through the Marketplace — including AI agent skill files, personas, configuration or prompt files, and other downloadable content — together with any associated content listed for sale by a Seller.
1.2 “Seller” means the third party that creates, owns, lists, and licenses a Digital Product. Sellers are independent third parties and are not employees, agents, or partners of MCP Market.
1.3 “Listing” means a Seller's published offer to license a Digital Product, including its price, description, and any Seller-provided materials.
1.4 “Organization” means the workspace or account into which a purchased Digital Product is delivered. Entitlement to a purchased Digital Product is granted to the purchasing Organization.
2. The Marketplace is a venue
2.1 MCP Market operates a venue that allows Sellers to list and license Digital Products to Buyers and that facilitates payment for those transactions. The Seller — not MCP Market — is the provider and licensor of each Digital Product.
2.2 MCP Market does not create, author, endorse, verify, or guarantee any Digital Product, and does not control and is not responsible for the quality, safety, legality, accuracy, security, or fitness of any Digital Product. MCP Market is not a party to the license between you and the Seller, except as expressly set out in these Buyer Terms regarding payment processing.
2.3 For the purpose of processing your payment, MCP Market (or its payment processor) acts as merchant of record and as the Seller's limited agent to collect funds on the Seller's behalf. This does not make MCP Market the provider of the Digital Product.
3. Eligibility
3.1 You must be at least the age of majority in your province or territory of residence and have authority to bind your Organization to these Buyer Terms.
3.2 You represent that the information you provide in connection with a purchase is accurate and that you are authorized to use the payment method you provide.
4. Orders, pricing, and payment
4.1 Prices are set by the Seller and displayed in the Listing in U.S. dollars (USD). The price shown at checkout is the total payable for the license, exclusive of any taxes that may be added at checkout.
4.2 Payments are processed through our third-party payment processor (Stripe). By completing a purchase you authorize the charge to your payment method.
4.3 A purchase is complete when payment is confirmed and the Digital Product is made available to your Organization. We may apply per-Organization purchase limits (for example, a single license per Organization) and may decline or cancel any order, including suspected fraudulent or duplicate orders.
4.4 You may not purchase a Listing offered by an Organization of which you are a member.
5. License to the Digital Product
5.1 Upon completion of a purchase, the Seller grants your Organization a non-exclusive, non-transferable, non-sublicensable license to use the Digital Product, subject to any additional license terms the Seller includes in the Listing.
5.2 The license is granted to your Organization as a single shared copy. You may not resell, redistribute, sublicense, or publicly republish the Digital Product, or remove or alter any proprietary notices.
5.3 All intellectual property rights in a Digital Product remain with the Seller (or its licensors). You receive only the license described in this Section 5.
6. All sales are final
6.1 All sales are final. Digital Products are delivered immediately upon purchase. You acknowledge that you have no right to cancel, return, or receive a refund or credit for any purchase, and you waive any cooling-off or change-of-mind cancellation right to the maximum extent permitted by law.
6.2 MCP Market's discretionary right to refund. Notwithstanding Section 6.1, MCP Market may issue a refund or payment reversal for any transaction in its sole discretion and without obligation. Any such refund does not create an entitlement to refunds and does not establish a precedent or course of dealing.
6.3 If you have a concern about a purchase, contact us at support@mcpmarket.com before initiating a payment dispute or chargeback so we can attempt to resolve it.
7. Digital Products are provided “as is”
7.1 Each Digital Product is provided to you by the Seller “as is” and “as available,” without warranties of any kind. To the maximum extent permitted by law, MCP Market and Sellers disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties or conditions of merchantability, fitness for a particular purpose, quality, accuracy, title, non-infringement, security, and uninterrupted or error-free operation.
7.2 You are responsible for evaluating each Digital Product's suitability for your purposes before and after purchase, including its compatibility, security, and compliance with your own requirements. You assume all risk arising from your use of any Digital Product.
8. Seller responsibility; your recourse is against the Seller
8.1 Because Digital Products are created and provided by Sellers, any claim, dispute, or liability relating to a Digital Product — including defects, non-performance, inaccuracy, security issues, data loss, intellectual-property infringement, or any direct or indirect damages arising from a Digital Product — is solely the responsibility of the Seller, and your sole recourse is against the Seller, not MCP Market.
8.2 You agree that MCP Market is not liable for the acts, omissions, products, content, or conduct of any Seller, and that MCP Market has no obligation to mediate or resolve disputes between you and a Seller (though it may choose to assist).
9. Disclaimer and limitation of MCP Market's liability
9.1 The Marketplace is provided “as is” and “as available.” To the maximum extent permitted by law, MCP Market disclaims all warranties relating to the Marketplace.
9.2 To the maximum extent permitted by law, MCP Market will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your purchase or use of any Digital Product or the Marketplace.
9.3 To the maximum extent permitted by law, MCP Market's total aggregate liability arising out of or relating to a Digital Product or a purchase will not exceed the amount you paid for that purchase.
10. Chargebacks
10.1 We encourage you to contact us under Section 6.3 before disputing a charge with your bank or card issuer, so we can attempt to resolve your concern directly. Nothing in these Buyer Terms limits any right you may have to dispute a charge with your card issuer. However, we reserve our rights and remedies, including suspending your access pending resolution, in connection with chargebacks that are fraudulent or made in bad faith (for example, disputing a charge for a Digital Product that was validly authorized and delivered).
11. Prohibited conduct
11.1 You will not use the Marketplace or any Digital Product in violation of applicable law, infringe any third party's rights, attempt to circumvent purchase or licensing controls, or use a Digital Product to create malicious, harmful, or deceptive software.
12. Your statutory rights
12.1 Nothing in these Buyer Terms limits or excludes any right, warranty, condition, or remedy that cannot be limited or excluded under applicable consumer-protection legislation in your province or territory or under other applicable law. Where any provision of these Buyer Terms (including Sections 6, 7, 8, and 9) conflicts with such a non-waivable right, that provision applies only to the extent permitted by law, and the remainder of these Buyer Terms continues in effect.
13. Changes to these Buyer Terms
13.1 We may update these Buyer Terms from time to time. The version in effect at the time of your purchase governs that purchase. Material changes will be posted on the Marketplace with an updated “Last updated” date.
14. Governing law
14.1 These Buyer Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. Subject to your non-waivable statutory rights, the courts located in British Columbia have jurisdiction over any dispute arising out of or relating to these Buyer Terms, and you consent to that jurisdiction.
